The terms behind working together.

Every engagement starts with a defined scope — the specific services, deliverables and timeline we've agreed to, usually confirmed by email or a signed proposal before work begins. If your needs change mid-engagement, we'll scope the change separately rather than quietly expanding (or shrinking) what was originally agreed.

Standard terms unless your proposal states otherwise:

• Retainer and ongoing services are billed monthly, in advance
• Fixed-scope projects (websites, apps, one-off builds) are typically billed 50% upfront, 50% on delivery
• Ad spend (Google Ads, Meta Ads, etc.) is separate from our management fee and paid directly to the platform, or invoiced separately with full transparency
• Invoices are due within 7 days unless otherwise agreed
• Late payment may pause active work until the account is current

Ongoing services run month-to-month after an initial minimum term (specified in your proposal, typically 3 months). Either side can cancel with 30 days' written notice after that minimum term ends.

Work already completed and delivered is non-refundable. If you cancel mid-cycle, we'll complete work already in progress for the current billing period rather than stopping abruptly.

Once fully paid, deliverables created specifically for you — website code, ad creative, written content, designs — become your property. We retain the right to:

• Showcase completed work in our own portfolio and case studies, unless you request otherwise in writing
• Reuse general methods, frameworks and non-client-specific processes we developed independently, on other client work

Third-party tools, plugins, stock assets or licensed software used in your project remain governed by their own respective licenses.

We treat your business information — strategy, performance data, unreleased plans — as confidential, and don't share it outside what's needed to deliver the work (e.g. with subcontractors bound by the same confidentiality standard). We expect the same discretion in reverse regarding our own methods and pricing.

We work carefully and stand behind what we deliver, but we can't guarantee specific business outcomes — rankings, ad performance, and revenue depend on many factors outside our direct control (market conditions, your industry, platform algorithm changes, your team's execution on recommendations, etc.). Our total liability for any claim is limited to the fees paid for the specific service in question over the preceding 3 months.

Good results depend on both sides. We ask that you provide timely access (accounts, assets, approvals), respond to requests within a reasonable window, and give honest feedback — delays on your end can reasonably affect our delivery timeline.

These terms are governed by the laws of India. Any disputes will first go through good-faith negotiation; if that doesn't resolve things, jurisdiction rests with the courts of Chennai, Tamil Nadu.

We may update these terms as our services evolve. For existing clients, material changes won't apply retroactively to an active agreement without your consent — they'll take effect for new work or contract renewals going forward.
